TERMS OF SERVICE

HelloFund, Inc. ("HelloFund," "we," "us," or "our") provides a cloud-based fundraising platform that enables schools, nonprofits, PTAs, booster clubs, and other charitable organizations to collect donations, run fundraising campaigns, manage events, conduct raffles, operate online stores, and process payments through our software-as-a-service platform available at app.hellofund.com (the "Platform").
These Terms of Service ("Agreement") govern your access to and use of the HelloFund Platform, website (hellofund.com), and all related services (collectively, the "Services"). By creating an account, subscribing to a plan, or using the Services, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization.
Please read this Agreement carefully. If you do not agree to these terms, do not use the Services.
1. DEFINITIONS
"HelloFund," "Company," "we," "us," or "our" refers to HelloFund, Inc., a Texas corporation.
"Platform" means the HelloFund web application accessible at app.hellofund.com, including all features, tools, dashboards, and integrations made available to Customers.
"Services" means all products and services provided by HelloFund, including but not limited to: peer-to-peer fundraising campaigns, online stores, Donate Now pages, event management and ticketing (galas, golf tournaments), raffle management, custom forms, online auctions, SMS messaging, email communications, reporting, reconciliation, and payment processing facilitation.
"Customer" or "you" means the individual or organization that creates a HelloFund account and subscribes to a plan.
"End User" or "Donor" means any individual who interacts with a Customer's public-facing fundraising pages, makes a donation, purchases tickets, buys store products, enters a raffle, or otherwise engages with Customer's fundraising activities through the Platform.
"Subscription Plan" means the annual plan (Starter, Pro, or Elite) selected by Customer, as described at hellofund.com/pricing.
"Customer Data" means all data, content, and information submitted by Customer or End Users through the Platform, including donor information, transaction records, event data, and fundraising page content.
"Stripe" or "Stripe Connect" means Stripe, Inc., HelloFund's third-party payment processing partner. Payment processing on the Platform is facilitated through Stripe Connect, and each Customer maintains their own Stripe connected account.
2. THE HELLOFUND PLATFORM AND SERVICES
2.1 Platform Access
Subject to the terms of this Agreement and timely payment of applicable Subscription fees, HelloFund grants Customer a non-exclusive, non-transferable, limited license to access and use the Platform for Customer's internal fundraising purposes during the Subscription term. By creating a HelloFund account, Customer agrees to be bound by this Agreement, including the Privacy Policy at hellofund.com/privacy-policy.
2.2 Services Description
The HelloFund Platform currently includes the following tools, which may vary by Subscription Plan:

Peer-to-Peer Fundraising Campaigns — create branded campaign pages for donors to fundraise on your behalf

Donate Now Pages — simple, embeddable donation collection pages

Online Store — sell products, sponsorships, spirit wear, and other items
-
Event Management — ticket sales, sponsorships, gala and golf tournament management, event night check-in, silent and live auction management, paddle raise, and more
-
Raffle Management — online raffle ticket sales with winner selection tools
-
Custom Forms — data collection with optional payment, templates for common school and nonprofit use cases
-
SMS Messaging — outbound text communications to donors and event guests, subject to plan limits
-
Reporting and Reconciliation — year-over-year financial reporting, ledger, donor statements, and Stripe reconciliation
-
Email Communications — transactional receipts, event communications, and lifecycle notifications via Resend
2.3 Third-Party Platform Partners
Certain HelloFund Services, including online auction and mobile bidding features, may be delivered in whole or in part through licensed third-party software platforms. HelloFund maintains agreements with these partners to deliver these services to you. Your use of these features is subject to this Agreement. HelloFund will notify you of any material changes to the delivery of these services.
2.4 Changes to Services
HelloFund may add, modify, or discontinue features or services at any time. We will provide reasonable notice of material changes. Customer's continued use of the Services after such notice constitutes acceptance of the changes.
2.5 Restrictions
Customer agrees not to:

Resell, sublicense, or make the Platform available to third parties as a service

Reverse engineer, decompile, or attempt to derive source code from the Platform
-
Use the Services to collect funds for illegal purposes or in violation of applicable laws
-
Violate any applicable law, regulation, or third-party rights in connection with use of the Services
-
Misrepresent your organization, its tax-exempt status, or the intended use of funds collected
-
Use the Services to send unsolicited communications or spam
3. SUBSCRIPTIONS, FEES, AND BILLING
3.1 Subscription Plans
HelloFund offers annual Subscription Plans. Current pricing is available at hellofund.com/pricing. Plans include:

Starter ($495/year) — peer-to-peer campaign, custom forms, Donate Now, unlimited supporters, 2,500 SMS credits, year-over-year reporting
-
Pro ($1,995/year) — everything in Starter plus unlimited events, unlimited campaigns, custom SMS, 15,000 SMS credits
-
Elite ($2,995/year) — everything in Pro plus unlimited SMS, email and phone support, direct access to HelloFund founder
HelloFund charges a 0% platform fee on all funds raised through the Platform. Payment processing fees charged by Stripe (2.9% + $0.30 per transaction standard; 2.2% + $0.30 for verified nonprofits) apply and are collected directly by Stripe, not HelloFund.
3.2 Free Trial
New Customers on the Starter plan may be eligible for a 30-day free trial. No credit card is required to begin a trial. At the end of the trial period, a paid subscription is required to continue using the Platform. Trial availability and terms may vary.
3.3 Billing and Payment
Subscriptions are billed annually. HelloFund accepts payment by credit card or ACH bank transfer (preferred). Payment is processed securely through Stripe. By providing payment information, you authorize HelloFund to charge the applicable Subscription fee on the renewal date each year.
Customers may also elect net-30 invoice billing, subject to HelloFund approval. Under net-30 billing, Stripe sends an invoice due within 30 days.
3.4 Renewals and Cancellation
Subscriptions automatically renew annually unless cancelled. HelloFund will send renewal reminder emails at 30 days, 7 days, and 1 day before the renewal date. To cancel, contact support@hellofund.com or manage your subscription through your billing settings at app.hellofund.com/dashboard/settings/billing. Cancellations take effect at the end of the current subscription term. No refunds are provided for partial subscription periods.
3.5 Taxes
All fees are exclusive of applicable taxes. Customer is responsible for all applicable federal, state, and local taxes arising from their use of the Services.
3.6 Late Payment and Suspension
If payment is not received within 10 days of the due date, HelloFund may suspend access to the Platform. HelloFund will provide notice before suspension when practicable. HelloFund is not liable for any losses arising from suspension due to non-payment.
4. PAYMENT PROCESSING
4.1 Stripe Connect
HelloFund facilitates payment processing through Stripe Connect. To accept payments through the Platform, Customer must create and maintain a Stripe connected account. Customer's use of Stripe is subject to the Stripe Connected Account Agreement and Stripe's Terms of Service, available at stripe.com/legal. HelloFund is not a party to transactions between Customer and End Users.
4.2 Customer Responsibility for Transactions
Customer is solely responsible for all transactions processed through their Stripe connected account, including refunds, disputes, chargebacks, and compliance with applicable payment card network rules. HelloFund does not hold, transfer, or control Customer funds. All funds flow directly between End Users and Customer's Stripe connected account.
4.3 Fee Coverage
The Platform includes an optional "Cover Fees" feature that allows End Users to voluntarily cover Stripe processing fees, so that 100% of the intended donation amount reaches the organization. This feature is enabled by default on new fundraising pages and can be configured by Customer. On average, 85% of donors on the HelloFund Platform choose to cover processing fees.
4.4 Refunds
Customer is responsible for managing refunds to End Users through their Stripe connected account. HelloFund may provide tools to facilitate refunds but is not responsible for issuing or funding refunds.
5. CUSTOMER RESPONSIBILITIES
5.1 Account Security
Customer is responsible for maintaining the security and confidentiality of their account credentials. Customer must notify HelloFund immediately at support@hellofund.com of any unauthorized access or breach of account security. HelloFund is not liable for any losses arising from unauthorized account access due to Customer's failure to maintain account security.
5.2 Accurate Information
Customer represents that all information provided to HelloFund and to End Users through the Platform is accurate, complete, and not misleading. Customer must accurately represent their organization's tax-exempt status, the nature of funds collected, and the intended use of donations.
5.3 Compliance with Laws
Customer is solely responsible for complying with all applicable federal, state, and local laws in connection with their fundraising activities, including:

Nonprofit and tax-exempt organization regulations

State charitable solicitation registration requirements
-
Raffle and gaming laws (which vary significantly by state — see hellofund.com/raffle-laws)
-
IRS Form W-2G reporting requirements for raffle prizes valued at $2,000 or more net of ticket price and at least 300 times the ticket price
-
TCPA compliance for SMS communications
-
CAN-SPAM compliance for email communications
-
Any other applicable fundraising or consumer protection laws
Raffle Compliance Disclaimer
HelloFund provides raffle management tools as a convenience for organizations. HelloFund is not responsible for ensuring compliance with state or local raffle laws, licensing requirements, or regulations. Online raffle legality varies significantly by state. It is solely the organization's responsibility to verify that online raffles are permitted in their state and to obtain any required permits or licenses before conducting a raffle through the Platform.

5.4 End User Data
Customer is responsible for obtaining any required consents from End Users for data collection and communications. Customer must maintain a privacy policy for their fundraising activities and comply with applicable data protection laws.
6. SMS COMMUNICATIONS
The Platform includes SMS messaging capabilities powered by Twilio. By using SMS features, Customer agrees to:

Obtain explicit written consent from recipients before sending marketing or promotional SMS messages (TCPA compliance)

Include opt-out instructions in every SMS message

Maintain records of consent

Not send SMS messages to individuals who have opted out
SMS credits are included with each Subscription Plan (Starter: 2,500; Pro: 15,000; Elite: unlimited). Overages may apply at published rates. HelloFund rate-limits outbound SMS to prevent abuse.
7. DATA AND PRIVACY
7.1 Customer Data Ownership
Customer retains ownership of all Customer Data. HelloFund does not sell Customer Data to third parties.
7.2 License to Use Customer Data
Customer grants HelloFund a limited, non-exclusive license to use, store, process, and display Customer Data solely to provide the Services. This includes generating reports, sending communications on Customer's behalf, and facilitating payment processing.
7.3 HelloFund's Use of Aggregated Data
HelloFund may use anonymized and aggregated data (not personally identifiable) to improve the Platform, publish platform statistics (such as total funds raised across all customers), and for other legitimate business purposes.
7.4 Data Storage and Security
Customer Data is stored on servers located in the United States. HelloFund employs industry-standard security practices to protect Customer Data, including encryption in transit and at rest. However, no system is perfectly secure, and HelloFund cannot guarantee absolute security.
7.5 Privacy Policy
HelloFund's collection and use of personal information is governed by our Privacy Policy at hellofund.com/privacy-policy, which is incorporated into this Agreement by reference.
8. INTELLECTUAL PROPERTY
8.1 HelloFund Intellectual Property
HelloFund exclusively owns all rights, title, and interest in and to the Platform, including all software, designs, trade names, and content created by HelloFund. Nothing in this Agreement transfers any HelloFund intellectual property rights to Customer. The HelloFund name, logo, and platform content are the exclusive property of HelloFund, Inc. Copyright © 2017–2026 HelloFund, Inc. All rights reserved. Unauthorized use, reproduction, or distribution of HelloFund's intellectual property is strictly prohibited.
8.2 Customer Content
Customer retains full ownership of all content, logos, images, and materials uploaded to the Platform. By using the Services, Customer grants HelloFund a limited, non-exclusive license to display and use Customer content solely as necessary to provide the Services. HelloFund will not use Customer content for any other purpose.
8.3 Feedback
Customer may voluntarily provide feedback, suggestions, or ideas about the Services. By doing so, Customer grants HelloFund the right to use such feedback for any purpose without compensation or obligation to Customer. HelloFund is not required to act on any feedback provided.
9. DISCLAIMER OF WARRANTIES
THE HELLOFUND PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. HELLOFUND DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
HELLOFUND MAKES NO REPRESENTATION THAT THE USE OF ITS RAFFLE FEATURES IS LEGAL IN ANY PARTICULAR JURISDICTION. THE LEGALITY OF ONLINE RAFFLES VARIES BY STATE AND LOCALITY. HELLOFUND IS NOT RESPONSIBLE FOR ANY FINES, PENALTIES, OR LEGAL CONSEQUENCES ARISING FROM AN ORGANIZATION'S CONDUCT OF AN ONLINE RAFFLE IN VIOLATION OF APPLICABLE LAW. ORGANIZATIONS ARE SOLELY RESPONSIBLE FOR VERIFYING COMPLIANCE WITH APPLICABLE RAFFLE LAWS BEFORE USING THE PLATFORM'S RAFFLE FEATURES. SEE HELLOFUND.COM/RAFFLE-LAWS FOR STATE-SPECIFIC INFORMATION.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELLOFUND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SERVICES, EVEN IF HELLOFUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HELLOFUND'S TOTAL CUMULATIVE LIABILITY TO CUSTOMER ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT WILL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO HELLOFUND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
HELLOFUND IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF STRIPE, TWILIO, RESEND, OR ANY OTHER THIRD-PARTY SERVICE PROVIDER USED IN CONNECTION WITH THE PLATFORM.
11. INDEMNIFICATION
Customer will defend, indemnify, and hold harmless HelloFund and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Customer's use of the Services in violation of this Agreement

Customer's fundraising activities, including any claims by donors or regulatory authorities
-
Customer's violation of applicable laws, including charitable solicitation, raffle, gaming, or tax laws
-
Any misrepresentation by Customer to End Users or to HelloFund
-
Any unauthorized use of Customer's account
12. TERM AND TERMINATION
12.1 Term
This Agreement begins when Customer creates an account and continues for the duration of the active Subscription, renewing annually unless cancelled.
12.2 Termination by Customer
Customer may cancel their Subscription at any time through their billing settings or by contacting support@hellofund.com. Cancellation takes effect at the end of the current Subscription term. No refunds are provided for the remaining Subscription period.
12.3 Termination by HelloFund
HelloFund may terminate or suspend Customer's account immediately, without prior notice, for:

Material breach of this Agreement that is not cured within 10 days of notice

Non-payment of Subscription fees
-
Fraudulent, illegal, or harmful use of the Services
-
Actions that put HelloFund, other Customers, or End Users at risk
12.4 Effect of Termination
Upon termination, Customer's access to the Platform will be disabled. Customer Data will be retained for 30 days after termination, during which Customer may export their data. After 30 days, Customer Data may be deleted. Stripe connected account data is governed by Stripe's policies. Sections 4, 5, 7, 8, 9, 10, 11, and 13 survive termination.
13. GENERAL PROVISIONS
13.1 Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought in the federal or state courts located in Travis County, Texas.
13.2 Arbitration
Except for claims seeking injunctive relief and claims for collection of unpaid fees, any dispute arising under this Agreement will be resolved by binding arbitration in Austin, Texas, under the Commercial Arbitration Rules of the American Arbitration Association. Arbitration awards are final and binding. Claims may not be arbitrated on a class basis.
13.3 Entire Agreement
This Agreement, together with the Privacy Policy (hellofund.com/privacy-policy) and any Subscription order, constitutes the entire agreement between the parties regarding the Services and supersedes all prior agreements and understandings.
13.4 Modifications
HelloFund may update these Terms of Service from time to time. We will notify Customers of material changes by email or in-app notification at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance.
13.5 Assignment
Customer may not assign this Agreement without HelloFund's prior written consent. HelloFund may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
13.6 Severability
If any provision of this Agreement is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
13.7 Waiver
HelloFund's failure to enforce any provision of this Agreement does not waive its right to enforce that provision in the future.
13.8 Force Majeure
Neither party is liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, internet outages, government actions, or third-party service failures.
